Electrolux confirma la compra del especialista en electrodomésticos CTI

Electrolux lanzará una OPA para adquirir el 100% de las acciones de la empresa chilena CTI y comprará todas las acciones de Somela. El desembolso total de la operación sería de unos 625 millones de dólares americanos.

Lo publicó ayer el diario online Negocios.com. La firma sueca Electrolux ha anunciado la compra de la firma de electrodomésticos CTI, controlada por el grupo Sigdo Koppers y algunas partes asociadas, cuya participación corresponde a cerca del 64% del total de las acciones en circulación.

Según las condiciones del acuerdo, Electrolux lanzará una Oferta Pública de Acciones (OPA) para adquirir el 100% de las acciones en CTI, con el compromiso de Sigdo Kopppers y otras partes asociadas de ofertar su participación de 64%.

Además, Electrolux lanzará una OPA para adquirir todas las acciones en circulación de Somela, subsidiaria de CTI, empresa que también cotiza en la Bolsa de Comercio de Santiago, con el compromiso de CTI de vender su participación de 78.5%.

Ambas adquisiciones, de Somela y CTI implicarían un desembolso para Electrolux de unos 625 millones de dólares americanos.

En Chile, CTI fabrica frigoríficos, cocinas, lavadoras y estufas, y comercializa estos productos bajo las marcas Fensa, Mademsa y Somela. CTI tiene una participación de mercado en volumen del 37%. A través de su subsidiaria en propiedad absoluta Frimetal S.A. tiene una posición mayoritaria en Argentina, donde opera con la marca GAFA. En 2010, CTI generó ingresos consolidados por 203 billones de dólares, y resultado operacional de 32 billones de dólares.
